1. Acceptance of Terms
By accessing and using the services provided by Choice Pro IT Services ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
2. Description of Services
Choice Pro IT Services provides comprehensive information technology services including but not limited to:
- Cloud solutions and migration services
- Cybersecurity services and monitoring
- Managed IT services and support
- IT consulting and strategic planning
- Network solutions and infrastructure
- Data management and backup services
3. Service Agreements
Specific services will be governed by separate service agreements that detail the scope of work, deliverables, timelines, and pricing. These Terms serve as the general framework for all service relationships.
4. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Grant appropriate access to systems and data as required
- Maintain confidentiality of login credentials and access information
- Comply with all applicable laws and regulations
- Pay all fees according to the agreed payment terms
- Notify us promptly of any security incidents or concerns
5. Payment Terms
Payment terms will be specified in individual service agreements. Generally:
- Invoices are due within 30 days of receipt unless otherwise specified
- Late payments may incur interest charges at 1.5% per month
- Services may be suspended for accounts more than 60 days overdue
- All fees are non-refundable unless otherwise stated
6. Confidentiality
We understand the sensitive nature of your business information and commit to:
- Maintaining strict confidentiality of all client data and information
- Using client information solely for the purpose of providing services
- Implementing appropriate security measures to protect confidential information
- Not disclosing client information to third parties without consent
7. Data Security and Privacy
We implement industry-standard security measures to protect your data. However, no system is completely secure. We will:
- Use reasonable efforts to protect your data from unauthorized access
- Notify you promptly of any known security breaches
- Comply with applicable data protection regulations
- Maintain appropriate backup and recovery procedures
8. Service Level Agreements
Service level commitments will be detailed in specific service agreements. We strive to provide:
- High availability and uptime for managed services
- Timely response to support requests
- Professional and competent service delivery
- Regular communication and reporting
9. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the amount paid for services in the 12 months preceding the claim
- We shall not be liable for indirect, incidental, or consequential damages
- We are not responsible for damages caused by factors beyond our reasonable control
- Client acknowledges that technology services involve inherent risks
10. Intellectual Property
Regarding intellectual property rights:
- Client retains ownership of all client data and proprietary information
- We retain ownership of our methodologies, tools, and general knowledge
- Any custom solutions developed may be subject to separate IP agreements
- Neither party may use the other's trademarks without permission
11. Termination
Either party may terminate services:
- With 30 days written notice for ongoing services
- Immediately for material breach of these Terms
- Immediately for non-payment after appropriate notice
- Upon completion of project-based services
Upon termination, we will assist with orderly transition of services and return of client data.
12. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, labor disputes, or other force majeure events.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State where our principal office is located, without regard to conflict of law principles.
14. Dispute Resolution
Any disputes arising from these Terms or our services shall be resolved through:
- Good faith negotiation between the parties
- Mediation if negotiation is unsuccessful
- Binding arbitration as a final resort
- Courts of competent jurisdiction for injunctive relief
15. Modifications
We reserve the right to modify these Terms at any time. Material changes will be communicated to clients with reasonable notice. Continued use of our services after such changes constitutes acceptance of the modified Terms.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with any specific service agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.
